JAPAN MARKET ENTRY GUIDE
Japan Branch, Subsidiary or Representative Office: A Planning Guide
Prepare your Japan business-structure decision by comparing intended activities, contracting, governance and operating responsibilities.
The right business structure follows the activities you intend to conduct. Before comparing incorporation services, write down who will sell, employ staff, sign contracts and carry operating risk.
Understand the basic distinction
According to JETRO’s overview, a representative office can undertake preparatory activities such as market research, but cannot conduct sales. A branch forms part of the foreign company; a subsidiary is a separate corporation. Common subsidiary forms include a Kabushiki-Kaisha (KK) and Godo-Kaisha (GK).
Those distinctions help frame the discussion, but do not determine the best answer for your business. Use JETRO’s comparison of operating structures with qualified legal and tax advisers before selecting an arrangement.
Prepare an activities map
List the activities planned for the first year and assign a contracting party to each. Include customer contracts, leases, recruitment, procurement, payment collection and support. Mark any activity for which responsibility remains unresolved.
For example, a company researching potential buyers has a different operating brief from a company preparing to invoice customers and hire a local team. Describing those differences explicitly makes professional advice more useful.
Compare the practical requirements
Build a decision sheet covering:
- Parent-company control and local decision-making authority.
- Ownership of contracts, accounts and intellectual property.
- Funding needs and ongoing administration.
- Staffing plans and any immigration questions.
- Responsibilities if the project is paused or closed.
Do not choose a structure solely because its initial registration quote is lower. Ask for a view of ongoing work and any later restructuring that your intended growth could require.
Separate incorporation from launch readiness
A registered entity is one part of an operating business. Your launch plan still needs owners for customer acquisition, delivery, reporting and support. Record both the structural decision and the commercial responsibilities it leaves to the team.
