JAPAN MARKET ENTRY GUIDE

A Japan Company Setup Checklist for Overseas Teams

Organize the decisions, documents and operating workstreams your overseas team should prepare before setting up a business in Japan.

Company setup involves decisions across headquarters, local advisers and the launch team. A shared preparation brief helps prevent each participant from working from a different set of assumptions. This checklist is a coordination tool, not a statutory filing checklist.

Create one source of company information

Prepare a controlled folder containing the parent company’s basic information, ownership structure, proposed business activities and contact details for authorized decision-makers. Ask the appointed advisers which documents, certifications and translations are required for your chosen structure.

Maintain a document register with the owner, version, request date and intended recipient. Avoid circulating multiple unlabelled copies of the same material across email threads.

Resolve the decisions that affect other work

Record the proposed operating structure, funding plan, management responsibilities and intended location. Mark each item as proposed or approved. A tentative address or executive appointment should not silently become an assumption used by other suppliers.

Use JETRO’s comparison of business structures as a reference for the questions to raise with your advisers. Confirm requirements for the particular business rather than treating a general guide as a final instruction.

Build a dependency list

Separate registration work from operational preparation. Create workstreams for professional advice, banking preparation, contracts, accounting arrangements, staffing, technology access and customer support.

For each workstream, ask: what information is needed, who supplies it, and what cannot begin until it is available? Set an escalation date for unresolved decisions before they threaten the intended launch.

Hold a readiness review

Before announcing that the business is ready, verify the activities the team can actually perform. Can it issue the intended contracts? Who approves expenditure? Where do invoices go? Who answers customer inquiries?

Keep a short list of remaining restrictions and give it to the commercial team. This makes it easier to promise only what the new operation can deliver.
