Representative Director Support in Japan: Define the Role First

Define authority, reporting, responsibilities and handover expectations before arranging representative director support for a Japan business.

When considering representative director support, start with the role the business needs and the governance surrounding it. An appointment should be evaluated separately from a general market-entry consulting engagement.

Distinguish representation from project coordination

A project manager may coordinate suppliers, track tasks and report progress. A representative director appointment concerns a corporate office and should be assessed with qualified legal advice. Do not assume that a service description or an internal job title settles the legal scope.

Residence rules also depend on the business structure. JETRO’s comparison distinguishes branch representatives from representatives of KK and GK subsidiaries; a blanket claim that every Japanese subsidiary needs a resident representative is not an appropriate basis for planning.

Write a clear scope of authority

Prepare a proposed authority matrix covering contracts, banking instructions, hiring, expenditure and interaction with advisers. Identify which decisions require headquarters approval and how that approval will be recorded. Have advisers assess how the arrangements should be documented and their legal effect.

Agree reporting frequency, information access and the process for raising an urgent issue. A role cannot be evaluated properly if the expected responsibilities are broad but access to information is unclear.

Plan the working relationship

Discuss availability, communication channels, conflicts of interest, compensation and the support available to the appointee. Clarify who maintains corporate records and who coordinates recurring professional work. These practical arrangements should be explicit before the engagement starts.

Design the handover at the outset

Set out how a future transition would be managed: documents, permissions, pending decisions, adviser contacts and any procedures requiring professional assistance. A continuity plan helps the company move to a longer-term operating structure without losing essential knowledge.

The useful starting document is a role brief, not simply a request for a name on a registration.
